1. Acceptance of Terms

By accessing or using the website, platform, or any services offered by PLX Digital Health, Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must not use our services.

We reserve the right to modify these Terms at any time. Continued use of the platform following any changes constitutes your acceptance of the updated Terms.

2. Description of Services

PLX Digital Health, Inc. operates a technology platform that facilitates connections between patients and independent, state-licensed healthcare providers and licensed pharmacies. PLX Health does not itself practice medicine, provide medical advice, diagnose conditions, or prescribe medications.

Services available through the platform may include:

  • Online health intake assessments and questionnaires
  • Telehealth consultations with licensed healthcare providers
  • Prescription fulfillment through licensed pharmacies
  • Subscription-based care programs
  • Ongoing patient support and follow-up communications

3. Eligibility

You must be at least 18 years of age to use the platform. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

Certain services may only be available to residents of specific U.S. states where our network providers are licensed. Availability of services is subject to change without notice.

4. Account Registration

To access certain services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your account credentials confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

5. Subscription Services & Recurring Billing Authorization

PLX Digital Health, Inc. offers subscription-based care programs that are billed on a recurring basis ("Subscription"). By enrolling in a Subscription, you expressly authorize PLX Digital Health, Inc. and/or its authorized payment processors to charge your designated payment method automatically at the beginning of each billing cycle (monthly, quarterly, or as otherwise stated at checkout) until you cancel.

By providing your payment information and enrolling in a Subscription, you acknowledge and agree to the following:

  • Automatic Renewal: Your Subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date.
  • Recurring Charges: You authorize PLX Digital Health, Inc. to charge your payment method on a recurring basis for the applicable Subscription fee, plus any applicable taxes, without requiring further authorization for each renewal.
  • Price Changes: We reserve the right to change Subscription pricing with at least 14 days' prior written notice sent to the email address associated with your account. Continued use of the Subscription following such notice constitutes acceptance of the new pricing.
  • Failed Payments: If your payment method is declined or fails, we may suspend or terminate your access to Subscription services until payment is successfully processed.
  • Payment Information: You are responsible for keeping your payment information current and accurate. You may update your payment method through your account settings.

6. Cancellation Policy

You may cancel your Subscription at any time. To avoid being charged for the next billing cycle, you must cancel at least 48 hours before your next scheduled renewal date.

To cancel your Subscription, you may:

  • Log in to your account and navigate to Subscription Settings
  • Contact our support team at support@plxhealth.com

Upon cancellation, you will retain access to your Subscription benefits through the end of the current paid billing period. Cancellation does not entitle you to a prorated refund for any unused portion of your current billing period unless otherwise required by applicable law.

Cancellation of a Subscription does not automatically cancel any active prescriptions or medication shipments already in process. Please contact us separately if you wish to discontinue medication shipments.

7. Refund Policy

Due to the nature of our telehealth and pharmaceutical services, all sales are generally final and non-refundable once a prescription has been issued by a licensed provider or a medication has been shipped by a licensed pharmacy. This policy exists because compounded medications are prepared specifically for individual patients and cannot be restocked or reused.

Refunds may be considered on a case-by-case basis in the following limited circumstances:

  • A provider determines you are not a candidate for treatment and no prescription is issued
  • You cancel your order before a prescription has been issued and the medication has not been prepared or shipped
  • You received the incorrect medication or dosage due to an error on our part or the pharmacy's part
  • Your medication arrived damaged or compromised during shipping

To request a refund, contact our support team at support@plxhealth.com within 7 days of the event giving rise to the refund request. Refund requests submitted after this period may not be honored.

Approved refunds will be credited to your original payment method within 5–10 business days. PLX Digital Health, Inc. reserves the right to deny refund requests that do not meet the criteria outlined above.

8. Medical Disclaimer

The content provided on this platform is for informational purposes only and does not constitute medical advice, diagnosis, or treatment. PLX Health does not practice medicine or pharmacy.

Submitting a health intake form or completing an online assessment does not guarantee that a prescription will be issued. A licensed healthcare provider will independently evaluate your information and determine, in their sole clinical judgment, whether treatment is appropriate for you.

In case of a medical emergency, call 911 or go to the nearest emergency room immediately. Do not use this platform for emergency medical needs.

9. Telehealth Services

Telehealth services are provided by independent, licensed healthcare providers who operate independently and are not employees or agents of PLX Digital Health, Inc.. By using telehealth services, you consent to the delivery of care via electronic means, including online questionnaires, asynchronous messaging, and/or video consultation.

You acknowledge that telehealth services have inherent limitations compared to in-person care and agree to seek in-person care whenever clinically necessary.

10. Prescription & Pharmacy Services

Prescriptions are issued solely at the discretion of the licensed healthcare provider. Medications are dispensed by independent, state-licensed compounding pharmacies. PLX Digital Health, Inc. does not manufacture, compound, or dispense medications.

Compounded medications are not FDA-approved products and are not reviewed by the FDA for safety, effectiveness, or quality prior to dispensing. You acknowledge and accept these limitations by using our services.

11. SMS / Text Message Communications

By providing your mobile phone number and using our services, you consent to receive text messages (SMS) from PLX Digital Health, Inc. and/or its service providers regarding your account, order status, appointment reminders, prescription updates, and promotional communications ("SMS Messages").

Message frequency varies. Message and data rates may apply. You are responsible for any fees charged by your mobile carrier.

To opt out of SMS communications at any time, reply STOP to any SMS message you receive from us. After opting out, you will receive a single confirmation message. You may opt back in at any time by replying START.

For help, reply HELP or contact us at support@plxhealth.com. Opting out of marketing SMS messages will not affect transactional messages related to your account, orders, or ongoing care unless you specifically request otherwise.

Consent to receive SMS messages is not a condition of purchasing any product or service. Mobile carriers are not liable for delayed or undelivered messages.

12. User Responsibilities

You agree to:

  • Provide truthful, accurate, and complete information at all times
  • Use the platform only for lawful purposes
  • Not impersonate any person or entity
  • Not attempt to gain unauthorized access to any portion of the platform
  • Not use the platform in any manner that could damage or impair its operation
  • Comply with all applicable laws and regulations

13. Limitation of Liability

To the fullest extent permitted by applicable law, PLX Digital Health, Inc. and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the platform or services.

In no event shall PLX Digital Health, Inc.'s total liability to you for all claims exceed the greater of (a) the amount paid by you to PLX Digital Health, Inc. in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
